1. Agreement

By accessing the TechFerment website, submitting a contact form, or engaging our services, you agree to these Terms and Conditions ("Terms"). If you do not agree, please do not use our website or services.

These Terms apply to all visitors, prospective clients, and clients. Separate written agreements or statements of work may add project-specific terms; where they conflict, the written agreement takes precedence.

2. Services

TechFerment provides software development, UI/UX design, consulting, and related digital services. The scope, deliverables, timeline, and fees for each engagement are defined in a proposal, contract, or statement of work agreed upon before work begins.

  • We may decline or discontinue services at our discretion before a contract is signed.
  • Estimates and timelines are good-faith projections unless explicitly guaranteed in writing.
  • Third-party tools, APIs, or hosting may be required; associated costs are the client's responsibility unless stated otherwise.

3. Client responsibilities

To enable timely delivery, clients agree to:

  • Provide accurate project requirements, content, and feedback in a timely manner
  • Designate a point of contact with authority to approve scope and deliverables
  • Ensure any materials supplied (copy, images, data) do not infringe third-party rights
  • Make payments according to agreed schedules

Delays caused by missing inputs, approvals, or access may extend timelines and are not the responsibility of TechFerment.

4. Intellectual property

Unless otherwise agreed in writing, ownership of custom work product created specifically for a client transfers upon receipt of full payment for the relevant engagement.

  • TechFerment retains ownership of pre-existing code, frameworks, tools, and general methodologies used across projects
  • Open-source components remain subject to their respective licenses
  • We may display completed work in our portfolio unless a confidentiality agreement states otherwise

5. Payment

Payment terms, including deposits, milestones, and final balances, are specified in each project agreement. Unless stated otherwise:

  • Invoices are due within the period stated on the invoice (typically 7–15 days)
  • Late payments may pause work until the account is current
  • All fees are exclusive of applicable taxes (including GST, where relevant)
  • Refund policies, if any, are defined in the individual project agreement

6. Confidentiality

Both parties agree to keep non-public business, technical, and financial information shared during an engagement confidential, except where disclosure is required by law or already publicly available.

Confidentiality obligations survive termination of the engagement for a reasonable period, or as specified in a mutual non-disclosure agreement.

7. Warranties and disclaimers

We deliver services with reasonable skill and care consistent with industry standards. Except as expressly stated in a signed agreement, services are provided "as is" without warranties of any kind, whether express or implied.

We do not warrant uninterrupted or error-free operation of third-party platforms, hosting providers, or integrations outside our direct control.

8. Limitation of liability

To the maximum extent permitted by applicable law, TechFerment shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, data, or business opportunities, arising from use of our website or services.

Our total aggregate liability for any claim relating to a specific engagement shall not exceed the fees paid by the client for that engagement in the twelve (12) months preceding the claim, unless a higher limit is set in writing.

9. Termination

Either party may terminate an engagement according to the termination clause in the relevant project agreement. Where no clause exists, either party may terminate with written notice; the client remains responsible for fees owed for work completed to date.

Upon termination, we will deliver work product paid for to date in a reasonable format, subject to outstanding invoices being settled.

10. Website use

You agree not to misuse our website, including by:

  • Attempting unauthorized access to our systems or data
  • Transmitting malware, spam, or harmful content
  • Scraping or automated extraction of content without permission
  • Using the site in violation of applicable laws

11. Privacy

Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms.

12. Governing law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in India, unless otherwise agreed in writing.

13. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the website after changes are posted constitutes acceptance of the revised Terms.
